Definitions

“Client”, “You” refers to the individual or entity using our services.
“Services” include IT development, digital marketing, branding, design, consultation, and related services offered globally by Codedame Infotech.
Scope of Services
Codedame Infotech provides the following professional services:
→ Software and mobile app development
→ Website design and development
→ Digital marketing (SEO, PPC, social media marketing, content marketing)
→ Branding, UI/UX, and design services
All services are provided under a mutually agreed Statement of Work (SOW), proposal, or signed agreement.
Client Responsibilities
The client agrees to:
→ Provide accurate and complete information necessary to carry out the project
→ Cooperate and respond to requests promptly
→ Review and approve deliverables within reasonable timeframes
→ Make payments in accordance with agreed terms
→ Refrain from using our services for any unlawful or unethical purpose
Payment Terms
All invoices must be paid according to the agreed billing schedule.
Late payments may incur an interest charge of 1.5% per month or the maximum permitted by law.
The company reserves the right to suspend or terminate services for non-payment.
Intellectual Property Rights
The client retains ownership of any pre-existing intellectual property they provide.
Codedame Infotech retains ownership of tools, code frameworks, templates, or processes developed internally.
Upon full payment, the client will be granted a license or ownership rights to the final deliverables as agreed in the contract.
Confidentiality
Both parties agree to maintain confidentiality of all non-public information exchanged during the course of the project unless required by law. This obligation continues even after termination of the agreement.
Limitation of Liability
Codedame Infotech is not liable for:
→ Any indirect, incidental, or consequential damages
→ Loss of data, profits, or business opportunities
→ Delays caused by third-party service providers
Total liability under any agreement shall not exceed the total amount paid by the client in the three months preceding the claim.
Warranties and Disclaimers
All services are provided “as is” without any warranties, express or implied.
While we strive for excellence, we do not guarantee specific results such as search engine rankings or business leads.
Termination
Either party may terminate an ongoing agreement with 30 days’ written notice.
Immediate termination is allowed for breach of contract or unethical conduct.
Upon termination, all outstanding payments become due and any deliverables completed up to that point will be handed over as per the terms agreed.
Governing Law
These Terms & Conditions are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in [Ahmedabad, India].
Force Majeure
We shall not be held liable for any delay or failure in performance due to events beyond our control, including but not limited to natural disasters, internet outages, cyberattacks, labor strikes, or government restrictions.
Revisions
We reserve the right to update these Terms & Conditions at any time. Any changes will be posted on our website. Continued use of our services constitutes your acceptance of the updated terms.
